Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of Pathly.Care, the Pathly App, and Pathly CRM (collectively, the "Platform").

By accessing or using the Platform, you agree to these Terms.

1. Platform Ownership & Role

The Platform operates under the Pathly.Care brand.

The Pathly App is owned and operated by Pathly LLC.

Pathly CRM is owned and operated by Bentley Ventures, dba Pathly CRM.

For purposes of these Terms, both entities are collectively referred to as "Pathly."

Platform Role Clarification

Pathly is:

  • A technology platform
  • A matching and coordination tool
  • Not a care provider
  • Not a licensed placement agency (unless explicitly stated otherwise)
  • Not a healthcare provider
  • Not providing medical advice
  • Not guaranteeing placement outcomes

Pathly does not provide clinical, medical, or legal advice. Users should consult qualified professionals where appropriate.

2. User Tiers & Permitted Use

Explorer Tier

  • Intended for personal use only.
  • May not be used for commercial placement activity.
  • One-time payments are non-refundable.

Placement Tier

  • Intended for licensed or professional placement agents.
  • Must maintain required credentials where applicable.
  • Calendar integration may be required for full functionality.
  • Professional misuse of platform tools may result in suspension.

Community Tier

  • Communities are responsible for the accuracy of listings.
  • Must maintain truthful and up-to-date pricing, availability, and service details.
  • Misrepresentation may result in removal or suspension.

Tier Circumvention

Attempting to bypass subscription tiers, payment systems, or credit structures is strictly prohibited and may result in:

  • Immediate suspension
  • Termination of account
  • Forfeiture of credits
  • Legal action if warranted

3. Billing & Subscriptions

Subscription Terms

Placement and Community tiers may offer:

  • Monthly billing
  • Annual billing

Subscriptions automatically renew unless canceled prior to renewal date.

Users may manage billing via the Stripe billing portal.

Downgrades

Downgrades take effect at the end of the current billing cycle. No proration is provided unless explicitly stated.

Proration

Pathly may, but is not obligated to, provide prorated billing adjustments at its sole discretion.

4. No Refund Policy

All sales are final.

This includes:

  • Subscription fees
  • Explorer one-time payments
  • Community tour credits
  • Auto-replenished credits
  • Unused credits

Credits do not expire but are non-refundable.

No refunds will be issued for unused services or early termination.

5. Auto-Replenish (Community Tier)

  • Community accounts may have auto-replenish enabled by default.
  • Credits automatically replenish when the balance falls below a designated threshold.
  • Users may disable auto-replenish in account settings.
  • Charges are final once processed.
  • No refunds are provided for replenished credits.

6. Visibility & Matching Logic

Community visibility within search results is determined by multiple factors, including:

  • Care match compatibility
  • Account status
  • Subscription tier
  • Credit balance
  • System algorithms
  • User engagement metrics

Pathly does not guarantee:

  • Search ranking position
  • Lead volume
  • Tour frequency
  • Occupancy outcomes

Credit balance and subscription status may affect exposure frequency.

7. Matching Disclaimer

Pathly provides tools to facilitate connections between families, placement professionals, and communities.

Pathly does not:

  • Guarantee placement
  • Guarantee tour outcomes
  • Guarantee occupancy
  • Endorse specific communities
  • Verify all community representations

Communities and placement professionals operate independently.

8. Limitation of Liability

To the fullest extent permitted by law, Pathly LLC and Bentley Ventures shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or lost business opportunities
  • Occupancy outcomes
  • Decisions made by families or placement professionals
  • Misrepresentation by communities
  • Care quality or service outcomes
  • Medical or health-related decisions

Maximum aggregate liability shall not exceed the amount paid by the user in the preceding 12 months.

9. Chargeback Abuse

Improper chargebacks or payment disputes may result in:

  • Immediate suspension
  • Termination of account
  • Forfeiture of credits
  • Collection action for unpaid balances

Users agree to contact Pathly support before initiating payment disputes.

10. Termination Rights

Pathly reserves the right to:

  • Suspend or terminate accounts
  • Remove community listings
  • Disable credits
  • Restrict search visibility
  • Cancel access for misuse, fraud, or policy violations

Termination may occur without refund.

11. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Colorado.

Mandatory Arbitration

Any dispute arising from these Terms shall be resolved by binding arbitration in Colorado.

Class Action Waiver

Users agree to resolve disputes individually and waive any right to participate in class action proceedings.

Jury Trial Waiver

Users waive the right to trial by jury.

12. Modifications

Pathly may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.

13. SMS Communications

SMS Program Description

PathlyCRM provides messaging capabilities that allow senior living communities to communicate with prospects, residents, and contacts via SMS. Messages may include:

  • Tour scheduling confirmations
  • Appointment reminders
  • Follow-up communications
  • Customer support communications
  • Account notifications

Message frequency may vary depending on user interaction and service usage.

Message & Data Rates Disclosure

Message and data rates may apply depending on your mobile carrier and plan.

PathlyCRM is not responsible for any charges incurred from your wireless provider.

SMS Opt-Out Instructions

You may opt out of SMS communications at any time. To stop receiving messages, reply:

STOP

After sending STOP, you will receive one final confirmation message.

Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

Message delivery may be impacted by carrier limitations or network issues.

Age Restriction

You must be 18 years or older to use the messaging features provided through the PathlyCRM platform.
